• Subcontract portions of work to trusted third-party professionals while maintaining overall responsibility
• Update our service offerings, pricing, and packages without prior notice

04 Intellectual Property

• All fees are quoted in USD unless otherwise stated
• Invoices are due within 14 days of issuance unless otherwise agreed
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law

We reserve the right to pause or suspend work on a project if payment obligations are not met. Refund eligibility is governed by the individual project agreement.

07 Confidentiality

We treat all client information with the utmost confidentiality. We will not disclose your proprietary business information, trade secrets, or confidential project details to third parties without your consent, except as required by law or as necessary to deliver our services (e.g., sharing with team members working on your project).

If you require a Non-Disclosure Agreement (NDA), we are happy to accommodate this prior to project commencement. Please request this when reaching out.

08 Disclaimers

xprotechsolutions expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

11 Termination

Upon termination of a project:

• All outstanding fees become immediately due and payable
• You will receive all completed work and deliverables paid for to date
• Work-in-progress may be provided at our discretion

12 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida, United States.

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If negotiation fails, disputes may be submitted to binding arbitration.
